1. Who these terms apply to

These Terms of Service ("Terms") govern use of evolv.us, its informational content, inquiry and assessment tools, website chat, and Evolv IT's SMS communications program. The website is operated by TailWinds Technologies LLC DBA Evolv IT ("Evolv IT," "we," "us," or "our"), 1728 3rd Ave N, Suite 400, Birmingham, AL 35203.

By using the website, you agree to these Terms to the extent permitted by applicable law. If you do not agree, do not use it. Website use or acceptance of these Terms is not consent to marketing texts or calls. Our Privacy Policy explains our information practices.

These are public website and communications terms, not your managed-services agreement. A separately signed proposal, service agreement, statement of work, order, data-processing agreement, or business associate agreement governs the services it covers and controls if it conflicts with these Terms on that subject. These Terms do not amend existing client contracts.

2. Eligibility and authority

This website is intended for business users aged 18 or older. If acting for an organization, you must have authority to make the requests and provide the information you submit. Do not impersonate someone or provide another person's information without authorization. You remain responsible for using the website lawfully.

3. Website information and support

Website materials, guides, surveys, and assessment previews are general information, not a complete technical assessment, legal opinion, compliance certification, or guarantee that a system is secure. Professional recommendations and service commitments depend on an agreed engagement and its scope. We work to keep information accurate but it may contain errors or become outdated.

Forms, chat, and SMS are not emergency channels and do not create a response-time guarantee. Existing clients should use their agreed support process and our Client Support page. Do not submit credentials, protected health information, financial account numbers, or confidential client records through public website channels.

4. Quotes, vendors, and service agreements

Website prices and planning tools are informational unless an offer expressly states otherwise. Final scope, availability, pricing, taxes, service levels, payment obligations, and cancellation rights are established by the applicable written proposal or agreement, not by browsing the site or submitting an inquiry. Vendor prices and availability may change before an order is accepted.

When you request a vendor quote or service, we may coordinate with relevant vendors, distributors, carriers, or suppliers and provide information reasonably necessary to fulfill your request, as described in our Privacy Policy. This does not authorize unrelated vendor marketing, the sale of your information, or transfer of SMS opt-in data and consent. A quote request alone does not obligate you to purchase or create a managed-services agreement.

5. Marketing and communication preferences

We may contact you about your inquiry, requested services, or Evolv IT's own relevant offerings where law permits and consistent with your preferences. Marketing emails provide an unsubscribe method; you may also contact us to request removal. Automated or prerecorded marketing calls and marketing texts require any consent applicable law demands. Merely providing contact information is not blanket permission for those communications.

We do not sell personal information or rent contact lists. Vendors receiving details for your requested quote may use them for that request, not independent marketing. Marketing opt-outs do not prevent lawful, requested non-marketing communications, but do not authorize continued texts from an SMS program you have stopped.

6. Evolv IT SMS Program Terms

This section applies if you separately opt in to receive text messages from TailWinds Technologies LLC DBA Evolv IT, using the Evolv IT brand. It does not automatically enroll website visitors, chat users, quote requesters, or customers in SMS.

Program description: Depending on the purpose disclosed at opt-in and your choices, messages may include inquiry responses, requested quote or appointment updates, customer support, educational newsletter tips, and marketing offers about Evolv IT services. Consent to one purpose does not automatically authorize a materially different purpose.
Consent: Where required, marketing messages require separate express written consent. Consent must relate to the stated sender and message purpose and be obtained through an appropriate opt-in method. A phone number, ordinary form submission, website visit, or acceptance of these Terms is not by itself SMS marketing consent. Consent is not a condition of purchase.
Frequency: Message frequency varies by the program you select and your interactions. Any more specific frequency disclosed when you opt in applies to that program.
Rates: Message and data rates may apply to messages you send or receive. Check your wireless plan or ask your carrier about charges. You are responsible for charges your provider imposes.
Opt out: Reply STOP to the number that sent the message to cancel that SMS program. We may send one confirmation of your opt-out, after which the program stops unless you separately opt in again. You may also withdraw consent by another reasonable method, including contacting us. We will honor valid revocation requests as required by law. Do not assume an email marketing unsubscribe also changes a separate SMS preference; you may ask us to stop both.
Rejoin: To resume a stopped program, complete the applicable opt-in process again. An unrelated inquiry does not automatically re-enroll you.
Help: Reply HELP for assistance, email hello@evolv.us, or call (205) 418-3800. Direct STOP and HELP replies to the sending number; the office phone is also available for voice support.
Number ownership: Opt in only for a number you are authorized to use. Tell us if your number changes or is reassigned so we can update our records. Another person's consent does not substitute for yours.
Delivery and carriers: Delivery depends on your carrier, device, and network. Carriers are not liable for delayed or undelivered messages. SMS availability is not guaranteed on every network or device, and texts should not be relied on for emergencies.
Privacy: No mobile information is shared with third parties or affiliates for their marketing or promotional purposes. Text messaging originator opt-in data and consent are not shared with third parties except aggregators and providers of text messaging services as needed to deliver and support our program. These restrictions apply despite other sharing categories in the Privacy Policy.
Changes: We may update or end a program subject to applicable law and any required notice. A policy update does not grant new marketing consent, override a STOP request, or waive rights you cannot legally waive.

7. Information and materials you submit

You retain rights you have in information and materials you submit. You authorize us and appropriate service providers to receive, store, and use them to respond to your request, evaluate an application, prepare requested quotes, and otherwise carry out the purposes described in the Privacy Policy. This is not an unlimited assignment of your intellectual property. Submit only materials you are entitled to provide and do not upload malware or sensitive records through public channels.

8. Acceptable use

Do not misuse the website, send spam, harass others, submit fraudulent information, infringe rights, introduce malicious code, interfere with availability, or attempt unauthorized access. Do not bypass geographic restrictions or other access controls. Lawful search indexing must respect applicable access controls and crawler instructions. We may restrict abusive access and preserve or disclose relevant records when lawfully necessary to protect users or our rights.

9. Website content and intellectual property

Evolv IT or its licensors own the website design, branding, text, and other content except where otherwise identified. You may access and use the public materials for your lawful personal or internal business evaluation, preserving copyright notices. Other copying, resale, redistribution, or use of our trademarks requires permission unless law allows it. Third-party names and marks belong to their owners.

10. External tools and third-party services

Links, chat infrastructure, vendor products, and other third-party services may be subject to their providers' terms and privacy notices. We do not control every third-party service or guarantee external content or availability. Those terms do not remove our responsibilities for our own conduct or personal-information practices. Your purchases from or direct agreements with a vendor are governed by the applicable agreement.

11. Website warranties

To the fullest extent permitted by law, this free public website and its informational content are provided on an "as is" and "as available" basis without warranties of accuracy, uninterrupted availability, merchantability, fitness for a particular purpose, or noninfringement. Nothing here limits an express warranty or service-level commitment in a separately signed services agreement, or a warranty or right that law does not allow us to exclude.

12. Limits of website liability

To the fullest extent permitted by applicable law, neither party is liable to the other for indirect, incidental, special, punitive, or consequential damages arising solely from use of this free website, such as lost profits or business interruption. Evolv IT's aggregate liability for claims arising solely from use of this free public website and informational content is limited to US$100.

These website limitations do not amend liability terms in signed services agreements, apply to fraud or intentional misconduct, or exclude or limit liability, statutory remedies, or consumer protections that applicable law does not permit to be excluded or limited. Claims about contracted professional services remain subject to the applicable agreement and law.

13. Governing law and disputes

Subject to mandatory applicable law, these website Terms are governed by Alabama law, excluding its conflict-of-law rules. Website disputes may be brought in courts of competent jurisdiction in Alabama unless a mandatory law requires another forum. This does not override a separate signed agreement's dispute terms, remove mandatory protections in your jurisdiction, or impose mandatory arbitration or a class-action waiver.

14. Updates and severability

We may revise these Terms and update the effective date, providing notice or obtaining agreement where law requires. Changes do not retroactively amend signed services agreements or create new marketing consent. If a provision cannot be enforced, it will be limited to the extent law permits and the remaining provisions will continue to apply. No failure to enforce a provision immediately waives our right to enforce it later.
